Pairdex LLC ("Pairdex," "we," "us") respects your privacy. This Privacy Policy explains how we collect, use, disclose, and protect your personal information when you use our website, mobile applications, and related services (collectively, the "Platform").

By using the Platform, you consent to the practices described in this Policy. This Policy is incorporated into and governed by our Terms of Service.

2.3 Information from Third Parties

We may receive information from third-party services we use, such as identity verification vendors, payment processors (Stripe), e-signature providers (DocuSign), and authentication providers (Auth0).

3. How We Use Your Information

• To create and manage your account;
• To verify your identity, ownership, capital, or business credentials;
• To match you with potentially compatible counterparties;
• To facilitate Deal Rooms and document exchange;
• To process payments, subscriptions, and commissions;
• To communicate with you about your account, listings, and matches;
• To send service announcements, marketing emails (with your consent and opt-out option), and educational content;
• To improve, secure, and develop new features for the Platform;
• To detect, prevent, and respond to fraud, abuse, or violations of our Terms;
• To comply with legal obligations and respond to lawful requests.

4. How We Share Your Information

We do not sell your personal information. We share information only as follows:

• With other Users: Only after you and the counterparty have mutually agreed to connect, executed a Mutual Non-Disclosure Agreement, and entered a shared Deal Room. We do not display sensitive financial documents publicly.
• With service providers: Trusted third parties who process information on our behalf (cloud hosting, payment processing, identity verification, e-signature, analytics, email delivery) under contractual confidentiality and security obligations.
• For legal compliance: When required by law, court order, subpoena, or to protect our rights, property, or safety, or that of our Users or the public.
• In a business transaction: If Pairdex is involved in a merger, acquisition, financing, or sale of assets, your information may be transferred subject to this Policy.
• With your consent: When you direct us to share information with a specific third party.

5. Data Security

We implement reasonable administrative, technical, and physical safeguards to protect your information, including:

We host on secure cloud infrastructure (Amazon Web Services or equivalent). No system is perfectly secure. You acknowledge that you provide information at your own risk. If we become aware of a data breach affecting your information, we will notify you in accordance with applicable law.

6. Data Retention

We retain your information for as long as your account is active and for a reasonable period thereafter (typically seven years) to comply with legal, tax, accounting, and audit obligations. After this period, we delete or anonymize your information unless longer retention is required by law.

7. Your Rights & Choices

• Access: request a copy of the personal information we hold about you;
• Correction: ask us to correct inaccurate or incomplete information;
• Deletion: request deletion of your account and personal information, subject to legal retention obligations;
• Opt-Out of Marketing: unsubscribe from marketing emails at any time using the link in each email;
• Cookie Controls: adjust your browser settings to refuse cookies (some Platform features may not work);
• Do-Not-Track: we currently do not respond to Do-Not-Track signals;
• State-specific rights: California, Virginia, Colorado, Connecticut, Utah, and other state residents may have additional rights, including the right to opt out of "sale" or "sharing" of personal information. Pairdex does not sell personal information.

8. Children's Privacy

The Platform is not directed to individuals under eighteen (18). We do not knowingly collect personal information from minors. If we learn we have collected information from a minor, we will delete it.

9. International Users

The Platform is operated from the United States. If you access it from outside the U.S., you understand that your information will be transferred to and processed in the U.S., where data protection laws may differ from those of your country.

10. Changes to This Policy

We may update this Policy from time to time. Material changes will be notified by email and posted with a new Effective Date. Continued use of the Platform after notice constitutes acceptance.
